1. About us and these terms
1.1 This website is operated by UBIO LIMITED (company number 08725879), whose registered office is at 167-169 Great Portland Street, 5th Floor, London, England, W1W 5PF ("UBIO", "we", "us" or "our").
1.2 These Website Terms of Use apply whenever you browse, access or use the Hotels Connect website, join the waitlist, submit an enquiry or use any publicly available website feature.
1.3 By using the website, you confirm that you accept these terms. If you do not accept them, you must not use the website.
1.4 The website and Hotels Connect are intended for business users. You must not use the website to purchase or arrange services for wholly or mainly personal, family or household purposes.
1.5 Our Privacy Policy and Cookie Policy explain how we use personal data and cookies. The pre-launch offer is governed by these Terms of Use.
2. Website availability and changes
2.1 We may update, suspend, withdraw or restrict all or part of the website at any time. We do not guarantee that the website, any content or any waitlist function will always be available, uninterrupted or error-free.
2.2 Launch dates, product features, prices, savings, demonstrations and screenshots shown before general availability are estimates or illustrations and may change before launch.
2.3 We may change these terms by publishing a revised version. The version in force when you use the website will apply to that use.
3. Waitlist and enquiries
3.1 Joining the waitlist is free and does not create a subscription, guarantee access, reserve capacity, oblige you to purchase, or oblige us to launch Hotels Connect by any particular date.
3.2 You must provide accurate information and have authority to submit details for the relevant business and hotel. You must not submit another person’s contact details without authority.
3.3 We may contact you about your waitlist registration, launch access and steps needed to activate the service. We will send optional marketing only in accordance with your choices and applicable law.
3.4 Any discount is subject to these Terms of Use and applies to the first year of subscription only. Unless stated here, promotional rights cannot be sold, transferred or exchanged for cash.
4. Permitted use
4.1 You may use the website only for lawful business purposes and in accordance with these terms.
4.2 You must not:
- use the website in a way that breaches law, infringes rights, is fraudulent or causes harm;
- attempt to gain unauthorised access to the website, platform, accounts, systems, source code or infrastructure;
- introduce malware, carry out denial-of-service activity, probe vulnerabilities or bypass security controls;
- scrape, crawl, harvest, copy or systematically extract content or data from the website except as permitted in writing or by a search engine’s standard indexing function;
- reverse engineer, decompile or attempt to discover the source code, algorithms or non-public operation of Hotels Connect;
- misrepresent your identity, authority, hotel ownership or relationship with Google or UBIO; or
- use any content to build, train, benchmark or improve a competing product without our written permission.
5. Intellectual property
5.1 UBIO and its licensors own all intellectual property rights in the website, Hotels Connect, software, designs, text, graphics, demonstrations, documentation, trade marks and other content, except content expressly identified as belonging to a third party.
5.2 We grant you a limited, revocable, non-exclusive licence to view and use the website for your internal business evaluation. You may print reasonable extracts for that purpose, provided you do not alter them or remove proprietary notices.
5.3 Hotels Connect and UBIO names, logos and branding may not be used without our prior written permission. Google and related names and logos belong to Google and its affiliates.
6. Information and no reliance
6.1 Website content is provided for general information and product evaluation. It is not legal, tax, regulatory, advertising, revenue-management or technical advice.
6.2 Examples of rates, properties, savings, placements and results are illustrative. We do not promise that any hotel will be accepted, matched, ranked, displayed or advertised by Google or that use of Hotels Connect will increase traffic, bookings or revenue.
6.3 Google independently controls Hotel Center, Google Search, Maps, Hotels, free booking links and Hotel Ads. Google may change its products, policies, eligibility, display, processing, ranking and price-accuracy rules at any time.
7. Third-party links and services
7.1 The website may contain links to third-party websites or services. They are provided for convenience only. We do not control or endorse third-party content, availability, security or privacy practices.
7.2 References to Google or another third party do not imply ownership, sponsorship, endorsement or agency unless expressly stated in a written agreement authorised by that third party.
8. Liability
8.1 Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
8.2 Subject to clause 8.1, to the fullest extent permitted by law, we exclude all implied conditions, warranties and representations relating to the website and will not be liable for loss arising from use of, inability to use, or reliance on the website, including loss of profit, revenue, business, bookings, data, opportunity, goodwill or any indirect or consequential loss.
8.3 If we are liable to you in connection with the website and you do not have a paid subscription, our total aggregate liability will not exceed US$100.
9. Privacy and security
9.1 Our Privacy Policy describes our processing of personal data. Our Cookie Policy describes cookies and similar technologies.
9.2 Internet transmission is not completely secure. You are responsible for using appropriate devices, software and security controls when accessing the website.
10. General
10.1 If any provision is unlawful or unenforceable, it will be treated as modified to the minimum extent necessary, and the remaining provisions will continue.
10.2 A delay in enforcing a right is not a waiver of that right.
10.3 These terms and any non-contractual dispute arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law requires otherwise.
